Preamble
Agreement Overview
This Non-Disclosure Agreement ("Agreement") is entered into on the date of signing between the Disclosing Party and the Receiving Party identified above. Both parties agree to the following terms regarding confidential information related to the EduExpress project.

This Agreement is entered into in accordance with the laws of Sri Lanka. By signing this document, both parties confirm they have read, understood, and agreed to all terms stated herein. This is a legally binding agreement.
Section 01
Purpose
The purpose of this Agreement is to allow the Receiving Party to review confidential information related to the EduExpress platform and investment opportunity, while ensuring that such information remains strictly protected and is not disclosed to any unauthorised parties.

This NDA must be signed before any product details, technical architecture, business strategy, or financial information related to EduExpress is shared with any investor or party.
Section 02
Definition of Confidential Information
Confidential Information includes, but is not limited to, all of the following shared verbally, digitally, or in written form regarding the EduExpress project:

Product architecture and platform design
🤖
Artificial intelligence systems and technical implementation
📈
Business strategies and operational plans
💰
Financial projections and revenue models
📄
Investor structures and agreements
🔐
Any other information shared regarding the EduExpress project
Section 03
Obligations of the Receiving Party
The Receiving Party agrees to strictly comply with all of the following obligations:

Keep all confidential information strictly private and secure at all times.

Not disclose the information to any third party without prior written permission from the Disclosing Party.

Not copy, reproduce, or distribute the confidential information in any form or medium.

Use the confidential information only for the purpose of evaluating a potential investment in the EduExpress project.
Section 04
Non-Use of Information
The Receiving Party expressly agrees NOT to use the confidential information for any of the following purposes:

No Competing Product
Must not develop a competing product or service based on any disclosed information

No Third-Party Sharing
Must not share the concept with competitors, partners, or any third parties
🚫
No Commercial Gain
Must not gain any commercial advantage without explicit written authorisation from Developers Stack (PVT) LTD
Section 05
Ownership of Information

All Confidential Information Remains Property of Developers Stack (PVT) LTD
Nothing in this Agreement grants the Receiving Party any ownership rights, intellectual property rights, or license to use the information beyond evaluation purposes.

Section 06
Duration of Confidentiality
The Receiving Party agrees to maintain confidentiality for the following period from the date of signing this Agreement:

Section 07
Return or Destruction of Information
Upon request by the Disclosing Party, the Receiving Party agrees to promptly do one of the following:

Return All Documents
Return all confidential documents, materials, notes, and any physical copies received from the Disclosing Party in their original condition.

Permanently Delete Digital Copies
Permanently and irrecoverably delete any digital copies, files, emails, or recordings containing confidential information from all devices and storage.
Section 08
No Obligation to Invest
Signing this Agreement does not create any obligation or commitment on either party beyond confidentiality.

This Agreement does not obligate the Receiving Party to invest in the EduExpress project. It solely governs the protection of confidential information shared during the evaluation process. The Receiving Party may choose not to invest without any penalty.
Section 09
Governing Law
This Agreement shall be governed by and interpreted in accordance with the applicable laws of Sri Lanka.

Jurisdiction: Democratic Socialist Republic of Sri Lanka
Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Sri Lanka. This Agreement shall be construed in accordance with Sri Lankan law.
Section 10 — Agreement Acceptance
Signatures
By signing below, both parties confirm that they have read, understood, and agreed to all terms of this Non-Disclosure Agreement. This Agreement becomes legally binding upon signature by both parties.
